2. Introduction: These terms and conditions (“Terms”) govern your access to and use of NEMC CRM, an all-in-one marketing and sales customer relationship management platform provided by NEMC, (“NEMC”, “we”, “us”, “our”). By using NEMC CRM, you agree to be bound by these Terms.
3. License: Subject to your compliance with these Terms, NEMC grants you a limited, non-exclusive, non-transferable license to access and use NEMC CRM for your internal business purposes.
4. User Responsibility: You are responsible for all activities that occur under your account and for keeping your password secure. You must notify NEMC immediately of any unauthorized use of your account.
5. Proprietary Rights: NEMC CRM and its content and technology, including but not limited to software, algorithms, user interfaces, and documentation, are proprietary to NEMC and are protected by applicable intellectual property laws. You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in NEMC CRM.
6. Data: NEMC CRM allows you to upload, input, and store data. You represent and warrant that you have the right to use and transfer such data and that it does not violate any laws or regulations. You agree to indemnify and hold NEMC harmless from any damages, costs, or expenses arising from your misuse of data.
7. Modifications to NEMC CRM: NEMC reserves the right to modify, suspend, or discontinue NEMC CRM at any time for any reason without notice to you.
8. Termination: NEMC may terminate these Terms or your use of NEMC CRM at any time for any reason without notice to you. Upon termination, you must immediately stop using NEMC CRM and destroy all copies of NEMC CRM in your possession.
9. Disclaimer of Warranty: NEMC CRM is provided on an “as is” and “as available” basis. NEMC makes no representations or warranties of any kind, express or implied, as to the operation of NEMC CRM or the information, content, materials, or products included in NEMC CRM.
10. Limitation of Liability: NEMC will not be liable for any damages of any kind arising from the use of NEMC CRM, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
11. Dispute Resolution: Any disputes arising out of or relating to these Terms or NEMC CRM shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12. Governing Law: These Terms and your use of NEMC CRM shall be governed by and construed in accordance with the laws of the state of [Insert jurisdiction].
